Lita.co is a participatory financing platform which, unlike traditional crowdfunding platforms, enables committed individuals and investors to invest directly in companies with projects that have a strong social, societal and environmental impact. What's the difference between pre-collection and collection?

Pre-collection(launched on March 26) corresponds to an initial phase where you can take the time to examine our project sheet on Lita, understand the reasons for this fundraising drive, ask us any questions you may have and, if you're up for it, sign up by filling in the form atLita.coand indicate the amount you would like to invest in Make My Lemonade. These actions don't commit you to anything (you're under no obligation to convert this amount afterwards), but they do help us to get an initial estimate of the fundraising amount. It's also a good way to receive as much information as possible, and to be the first to know when the company goes live.fundraisingsinceplaces will be limited.

In a second phase, around mid-April, if you have registered with Lita.co and submitted an investment intention, you will receive an e-mail telling you thatcollectionis about to begin. Then it's time to convert your investment before the 2 million euro ceiling is reached. Places will be limited, and the advantage of having pre-registered via the pre-collection is to have access to this information before it is announced to the general public.

Once you have made your investment (by signing the electronic form and transferring the funds toLita.coyou will have 4 days in which to retract your investment, in which case Lita will reimburse you in full (fees included).

What are the financial risks and opportunities associated with this fundraising?

Investing in Make My Lemonade entitles you to an immediate tax benefit: a tax reduction of 18% of the amount invested. This measure is designed to encourage support for French businesses. So, when you file your next tax return, you'll mention your investment in an SME and receive this reduction a few months later. This scheme is part of the IR-PME program.

How do I invest with Lita.co?

The entire investment process is carried out digitally on LITA.co. You can invest directly in Make My Lemonade capital in a secure and simple way.
After completing your investor profile, simply follow the steps below:


1. Analyze the proposed companies by accessing the documents available on the site (project sheet, analysis file, etc.).

2. Choose the company you want to invest in (Make My Lemonade, for example). 😇) NB: You'll need proof of address and ID to validate your profile.

3. Read and accept the subscription conditions (detailed in the "FICI" key investment information sheet).

4. You electronically sign the legal documents (subscription form, shareholders' agreement if applicable). Choose your payment method (credit card or bank transfer).

Do I have to give my personal details when I fill in their form on Lita.co?

Yes, these steps are mandatory from a regulatory point of view, as Lita's activity is regulated by the AMF and subject to the European MiFID2 directive, which aims to strengthen investor protection. What is the risk of my investment?

What happens if I don't reach my fundraising goal?

If the minimum target is not reached by the end of the fundraising period, LITA.co and the company may decide to extend the fundraising campaign, in compliance with the legal framework. Otherwise, LITA.co undertakes to refund all funds deposited (including subscription fees) to all investors.

Are there any costs associated with my investment?

LITA.co charges a commission on subscription only. This commission is degressive, ranging from 3% to 1%, depending on the amount invested. It covers the costs of electronic signature, secure payment, file management and representation with the company to defend investors' interests. There are no other fees throughout the life of your investment, nor at exit.

Why is there a maximum amount for this round, and why are places limited?

We're looking to grow in a sensible way, which is why we've capped the amount of this fundraising round according to the projects we want to bring to fruition. As a result, there are only a limited number of places among our future shareholders. We really want to keep control of our growth, with clear objectives and without missing any important milestones.
